Corporate Governance & Board Effectiveness

Governance frameworks, board effectiveness and ethical leadership for public and private organisations.

Corporate governance is the system by which organisations are directed and controlled. Strong governance protects shareholders, stakeholders and long-term value; weak governance creates the conditions for the scandals that destroy reputations, careers and market capitalisation overnight.

What corporate governance covers

Corporate governance sits at the intersection of legal structure, ethical practice and organisational culture. It defines who holds decision rights, how those decisions are held accountable, and what safeguards exist when things go wrong. Effective governance is not a compliance overlay - it is how organisations sustain trust with shareholders, regulators, employees and society.

Key governance frameworks

OECD Principles of Corporate Governance

The OECD Principles are the global reference point, revised in 2023 to incorporate sustainability and stakeholder considerations. They cover shareholder rights, equitable treatment, stakeholder engagement, disclosure, board responsibilities and institutional investor conduct.

King IV Report (Southern Africa)

King IV is the leading governance code across Southern Africa, applying to listed companies, state-owned enterprises, non-profits and small-to-medium enterprises with adapted principles. It emphasises outcomes over compliance - an "apply and explain" model.

Kenya CMA Code of Corporate Governance

The Kenya CMA Code sets requirements for listed companies with mandatory board committees, independent director thresholds, and enhanced disclosure. Non-listed companies increasingly voluntarily adopt these standards to attract institutional investors.

Board effectiveness

Effective boards do three things well: they set strategic direction, oversee management performance, and manage risk. Common patterns of dysfunction include:

  • Dominant CEOs whose judgement goes unchallenged
  • Board composition that lacks the skills relevant to current strategy
  • Risk committees that meet quarterly and never before a crisis
  • Compliance treated as tick-box rather than genuine oversight
  • Board evaluations conducted by the same people being evaluated

Governance in the public sector

Public-sector governance faces distinct challenges: political accountability, procurement transparency, service delivery mandates, and multiple stakeholders with competing priorities. Public-sector board members and executives need governance training tailored to statutory frameworks rather than generic private-sector content.

Risk governance and internal controls

  • Enterprise risk registers and risk appetite statements
  • Internal control frameworks (COSO, ISO 31000)
  • Cyber risk and technology risk
  • Climate and environmental risk
  • Ethics and integrity systems

Ethics and anti-corruption

Ethics infrastructure has become part of governance mainstream. Modern organisations maintain codes of conduct, whistleblower systems, integrity hotlines, gifts-and-hospitality registers, and anti-corruption due diligence for suppliers and partners. Boards are expected to actively oversee the effectiveness of this infrastructure.
